Terms of Service

Effective date: April 7, 2026

These Terms are a binding agreement between you and the applicable Illuminate entity identified in these Terms. During the current closed beta, the live web application and standard payment flows are operated through Illuminate Payment Ltd in the United Kingdom. By creating an account, accessing our website, or using our products, including our non-interruptive sponsorship tools, you agree to these Terms.

1) Who we are & how to contact us

Illuminate is the trading brand used for the platform available at illuminate.money.

References in these Terms to “Illuminate”, “we”, “us”, or “our” mean Illuminate Payment Ltd unless we expressly identify a different contracting entity for an optional payment rail or supplemental product flow.

2) Contracting entity by service or payment method

  • During the current closed beta, your contract for the platform and standard payment flows is with Illuminate Payment Ltd in the United Kingdom.
  • The applicable entity for a transaction may also be shown in your checkout flow, invoice, receipt, dashboard, or payout flow.
  • Each entity is responsible only for the services, transactions, and obligations it expressly undertakes.

3) Eligibility & accounts

  • You must be at least 18 years old to create an account and enter into these Terms.
  • You are responsible for your account activity and for keeping your credentials secure.
  • We may verify identity, source of funds, tax status, or payout eligibility where required for onboarding, compliance, or fraud prevention.

4) Roles on the platform

Brands. Brands create and fund sponsorship campaigns that render natively on streams. Billing may be time-based or otherwise shown in-app. A higher Display Boost or similar ranking or placement feature may increase a campaign’s share of eligible on-stream time or placement opportunities.

Creators. Creators connect their stream or other supported integrations and, once approved, may receive payouts based on campaign performance, display time, measured delivery, or other platform rules shown in-app.

5) Payments, billing & fees

  • Fiat payments. Fiat payments are handled by Illuminate Payment Ltd and may be processed using Stripe or other payment providers. We do not store full card numbers.
  • Alternative payment rails. If we enable optional wallet-based, on-chain, or other non-card payment flows, the applicable terms, entity disclosures, and any additional fees or technical requirements will be shown in-product before use.
  • Processor terms. Your use of third-party payment providers, including Stripe, may also be subject to their own terms, policies, and compliance requirements.
  • Pricing. Rates, fees, boosts, budgets, settlement terms, and platform charges are shown in-app, at checkout, or on applicable pricing or payout pages.
  • Authorization. We may pre-authorize, reserve, hold, or otherwise earmark funds for planned campaign delivery, expected usage, disputes, refunds, or risk controls.
  • Final charges. Final charges may reflect actual delivered usage, measured seconds, budgets consumed, applicable fees, taxes, refunds, credits, or adjustments.
  • Receipts and invoices. Receipts, invoices, and transaction records may identify the applicable Illuminate entity and the relevant payment processor.

6) Beta features & additional rails

  • The platform is currently offered as a closed beta and some features, integrations, payment rails, and payout methods may be unavailable, limited, changed, or withdrawn at any time.
  • You are responsible for reviewing the specific disclosures, instructions, and checkout information shown for any optional payment or payout method before using it.

7) Delivery of service

We provide digital advertising, sponsorship, campaign tooling, placement, and related creator monetization services. Delivery may include on-stream display seconds, campaign rendering, campaign management tools, analytics, targeting, moderation features, placement optimization, and related digital services.

8) Refunds, cancellations, reversals & disputes

  • General rule. Services already delivered, including display time or completed digital campaign delivery, are generally non-refundable unless required by law or unless we determine a refund is appropriate.
  • Fiat refunds. Refund requests relating to fiat or Stripe transactions are handled by Illuminate Payment Ltd.
  • Pause or cancel. You may pause or cancel a campaign where the platform allows it. Charges already incurred remain due, and delivery stops only once the pause or cancellation takes effect.
  • Chargebacks and disputes. If you initiate a chargeback, payment dispute, reversal, or similar process, we may suspend related accounts, pause payouts, recover credited amounts, and provide evidence to the relevant processor or financial institution.
  • Timing. If you believe there has been an error, contact team@illuminate.money within 14 days of the relevant charge or event.

9) Creator payouts

  • Creator payouts may be made by Illuminate Payment Ltd or an approved third-party payout provider, depending on geography, payment rail, settlement method, compliance requirements, and product configuration.
  • You must complete any required KYC, KYB, tax, or onboarding steps before payouts are released.
  • Payout timing depends on the payment rail, processor, country, banking system, blockchain conditions, reserve requirements, and risk controls.
  • If a brand payment is refunded, reversed, charged back, or found to be fraudulent, we may offset or recover related creator payouts from current or future balances.
  • You are responsible for your own taxes, reporting obligations, and local legal compliance relating to earnings received through the platform.

10) Compliance, KYC, AML & sanctions

  • We may conduct identity verification, business verification, sanctions screening, fraud checks, source-of-funds reviews, and other compliance reviews.
  • We may refuse, block, pause, cancel, reverse, or limit access to any account, campaign, payment, payout, or transaction where we believe it is necessary for fraud prevention, regulatory compliance, legal risk, sanctions, AML, KYC, or platform safety.
  • You may not use the platform if you are subject to sanctions, acting on behalf of a sanctioned person, or located in a jurisdiction where use of the service would be unlawful.

11) Acceptable use & brand safety

Using Illuminate for illegal, deceptive, harmful, or prohibited activity is not allowed. You agree to comply with our policies and the acceptable-use requirements of our payment, banking, and infrastructure partners.

  • Illegal products or services, hate or incitement, explicit sexual content, non-consensual content, or exploitative material.
  • Weapons, explosives, drugs, fraudulent conduct, scams, unlawful financial promotions, or deceptive marketing.
  • Malware, unauthorized scraping, account abuse, circumvention of measurement or moderation systems, or attempts to manipulate campaign delivery data.

Safety systems. We may use moderation systems, audio analysis, metadata analysis, or predictive tools to reduce unsafe placements and improve quality. We do not guarantee perfect detection or perfect avoidance of every unsafe context.

12) Creative, licenses & IP

  • Brands grant us and participating creators a non-exclusive, worldwide, royalty-free license to host, process, analyze, adapt, reproduce, and display submitted creative solely as needed to operate, improve, and deliver campaigns and related services.
  • Creators grant us the right to render overlays, campaign units, and related placements and to use stream metadata, integrations, and performance data required to run and measure the service.
  • You retain ownership of your trademarks, creative, and content, subject to the licenses granted in these Terms.
  • We retain ownership of the platform, software, APIs, SDKs, analytics, interfaces, moderation systems, AI systems, and all related intellectual property.

13) AI model training & service improvement

To improve our AI systems that power campaign generation, placement predictions, moderation, and brand-safety features, we may use creative assets and related metadata you upload (such as images, video, titles, tags, and derived features) to train, fine-tune, evaluate, and improve our models and internal systems.

  • Exclusions: We do not use payment card data, payout data, your personal contact details, or support conversations to train models.
  • License: You grant the applicable Illuminate entity and its service providers a non-exclusive, worldwide, royalty-free license to process your uploaded assets and derived features for the purposes described above, while you retain ownership of your content.
  • Your rights: If you do not want your assets used for future model training, you may object by emailing team@illuminate.money. We will honor your objection for future training use where feasible, but model weights already trained may not be technically reversible.
  • Vendors: We may use cloud, compute, moderation, analytics, or model vendors under contracts or terms that restrict them to authorized purposes.

14) Privacy & data handling

Our Privacy Policy explains how personal data is collected, used, shared, stored, and transferred by the applicable Illuminate entity or entities in connection with the platform.

By using the service, you acknowledge that your data may be processed across jurisdictions, including where our entities, processors, infrastructure providers, or service providers operate.

15) Disclaimers & limitation of liability

  • THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
  • We do not guarantee campaign performance, uninterrupted service, platform availability, creator participation, blockchain uptime, processor uptime, or specific business outcomes.
  • To the fullest extent permitted by law, neither Illuminate entity will be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.
  • To the extent permitted by law, the total liability of the applicable Illuminate entity for claims arising out of or relating to the relevant service is limited to the amount you paid to that entity in the 6 months before the claim arose.

16) Suspension & termination

We may suspend, restrict, or terminate your account or access to any feature if we believe you have violated these Terms, created legal or regulatory risk, failed compliance checks, abused the platform, or exposed us, our users, or our partners to harm.

You may close your account at any time, but obligations already incurred, including fees, payout reversals, investigations, and indemnities, survive closure.

17) Governing law & disputes

  • These Terms, insofar as they relate to services provided by Illuminate Payment Ltd, are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction unless mandatory law requires otherwise.
  • Nothing in these Terms limits non-excludable rights or protections you may have under applicable law.

18) Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new effective date. Your continued use of the service after updated Terms become effective means you accept the revised Terms.
